Temporary Corporate Counsel

This position is a temporary role to act as the replacement for the company's Corporate Counsel while they are out on leave.

  • Draft, review, and negotiate various agreements including licensing, SaaS, vendor, partner, and other contracts;
  • Develop necessary forms and templates to meet Company’s particular product or offering needs;
  • Manage Company’s entire contract management system, ContractExpress, including templates, forms, processes, troubleshooting, and training legal department users, approvers, and Company users;
  • Work with and assist Contract Specialist and Contract Administrator to facilitate contract processes and ensure all Company’s contracts are handled in a timely manner;
  • Address and provide legal analysis and counsel for full range of issues related to the Company and its business units;
  • Work with general counsel, outside counsel, and internal constituents on all Company litigation matters including cases, suits, collections, legal holds, discovery, court/arbitration/mediation hearings and attendance, and settlements;
  • Assist in board governance for Company’s board and committees including agendas, materials, drafting of minutes, and filing of minutes;
  • Assist in entity management and keep Company and subsidiaries, both domestic and international, in good standing including annual filings, assisting with annual audit of financial statements, and other related matters as necessary;
  • Manage and assist with Company’s securities including repurchases, stock ledger, stockholder corporate book, and other related matters as necessary;
  • Assist in Company’s mergers and acquisitions as necessary including due diligence, disclosure schedules, review/draft of agreements, and working with other entity and counsel;
  • Assist general counsel with senior lender related matters; and
  • Work on anything for legal department, general counsel, and Company, as assigned, including general corporate matters, CEO/Executive directives, compliance, HR matters, marketing and RFP reviews, and real estate, as the need may arise.
  • Requirements

    • Minimum of five (5) years as licensed attorney
